REGULATORY STATUS

Orion RFX is NOT authorised or regulated by the Financial Conduct Authority (FCA), the Securities and Exchange Commission (SEC), or any equivalent financial regulator in any jurisdiction. We do not provide investment advice within the meaning of the Financial Services and Markets Act 2000 or any equivalent legislation. We sell software tools and educational material only - we do not manage funds, hold client capital, or provide regulated investment services.

LIMITATION OF LIABILITY

To the maximum extent permitted by law, Orion RFX's total aggregate liability arising from or in connection with these Terms, your use of our products, or any tort claim (including negligence), is capped at the greater of (a) the total fees you paid to Orion RFX in the twelve (12) months preceding the event giving rise to the claim, or (b) £100. We are not liable for indirect, incidental, consequential, special, or punitive damages, or for any loss of profits, trading losses, lost opportunities, or data loss, even if advised of the possibility of such damages.

HARDWARE & SYSTEM RESPONSIBILITY

Our software - including Nebula, TradingView scripts and any companion tools - is supplied for use on hardware that you own, choose and administer. You are solely responsible for ensuring your device meets the published system requirements and for maintaining your own operating system, drivers, cooling, power supply and backups. Computationally intensive features (such as backtesting and strategy search) naturally place sustained load on your CPU, memory and storage; running them is your choice and at your own risk. To the maximum extent permitted by law, Orion RFX accepts no responsibility or liability for hardware failure, degradation or damage, overheating, component wear, power consumption, data loss or corruption, or any other issue affecting your device, its peripherals or other software installed on it, whether or not our software was in use at the time. Nothing in this section limits or excludes any liability that cannot be limited or excluded under UK law, including liability for death or personal injury caused by negligence, or for fraud.

DISPUTE RESOLUTION

Before initiating any formal legal proceedings, both parties agree to make a good-faith attempt to resolve disputes via written correspondence over a 30-day period. If unresolved, disputes shall be referred to mediation under the Centre for Effective Dispute Resolution (CEDR) Model Mediation Procedure before proceeding to court. The courts of England and Wales retain exclusive jurisdiction over all unresolved matters.

PROHIBITED USE

You may not (a) use our products in any way that violates the rules of a regulated prop firm, broker, or exchange you operate under, (b) reverse-engineer, decompile, or extract source code from Nebula, Protocol 7, or any other proprietary software, (c) resell, redistribute, or share TradingView script access with third parties, or (d) use our tools to provide regulated financial advice to others.
